Terms and Conditions

The contract for using AGROGIS: your account, the free trial, plans and payment, cancellation, your data, support and liability.

01 ·About these terms

These Terms and Conditions are the contract between you and SC AGROGIS TECH S.R.L. ("AGROGIS", "we"), a Romanian company with its registered office at Str. Pictor Ion Andreescu 32B, Camera 3, Giurgiu, România, registered with the Trade Register under J2022000590521, CUI 46324960. They cover the AGROGIS platform and the www.agrogis.ro website.

You accept them when you create an account — by ticking the box for these terms and, separately, the box for the Privacy Policy — and each time you accept a new version at sign-in. If you open the account for a company or another organisation, you confirm that you are authorised to bind it, and "you" then also means that organisation.

These terms work together with the Privacy Policy, the Cookies Policy and the Service levels page. If you have signed a separate contract with us (for example an Enterprise agreement), that contract prevails over these terms where they differ.

We publish these terms in Romanian, English, Italian and Spanish. The Romanian text is the original; if the versions differ, the Romanian text prevails.

02 ·The service

AGROGIS is an online platform for farms. It includes satellite imagery and vegetation indices for your parcels, farm and parcel records, weather forecasts and alerts, field guidance, and EUDR and ISCC reports. Which modules you can use, and the limits that apply — hectares, team seats, report credits — depend on your plan and add-ons, as shown on the pricing page.

We keep developing the platform and may change, replace or retire features. If we remove a significant feature of your paid plan, we will tell you in advance, and you may cancel your subscription, which then ends at the end of the period you have already paid for. If you are a consumer, you also have the rights in section 8.

Information on the public pages of the website is general information. We work to keep it accurate, but it is not advice for your particular farm.

03 ·Your account and your team

  • You must be at least 18 years old and able to enter into a contract.
  • Give accurate details and keep them up to date — especially your e-mail address and, for paid plans, your billing details.
  • Keep your password to yourself and tell us straight away if you think someone else has used your account. You can turn on two-step sign-in with an e-mail code in Settings.
  • Each person signs in with their own account. The owner of an organisation can invite team members as contributors or viewers, within the seats of the plan, and is responsible for what they do in the organisation and for removing them when they no longer need access.

04 ·Free trial

A new account starts with a free trial (the Freemium plan), for the length and within the limits shown on the pricing page. No payment card is needed, and nothing is charged when the trial ends.

If the trial ends without a subscription, the account is locked as described in section 7: you keep access to Billing, Support and Settings, including the export of your account data (section 10). We keep your data for 6 months after the trial ends and e-mail you 30 and 7 days before we delete it. If you subscribe within those 6 months, you continue with your data where you left off.

05 ·Plans, prices and payment

  • Prices. Prices are in euro and are shown on the pricing page.
  • Payment. Subscriptions and add-ons are paid by card through Stripe (Stripe Payments Europe, Limited, Ireland). Your card details go to Stripe; we never see or store the full card number. A contract we sign individually, for example for Enterprise, may instead be paid by bank transfer against an invoice.
  • Renewal. A subscription runs for the period you chose — one month or one year — and renews automatically for the same period until you cancel. Each period is charged at its start. For yearly plans we e-mail you a reminder 30 days and 7 days before the renewal.
  • Payment confirmation. After each payment we e-mail you a confirmation together with the invoice. Your invoice history is in Billing.
  • Price changes. We may change our prices. A new price applies to you only from a renewal at least 30 days after we have told you by e-mail, and you can cancel before it applies.
  • No refunds. Payments are not refunded, in whole or in part — not when you cancel, move to a smaller plan, reduce an add-on or delete your account. The only exceptions are those the law requires for consumers (section 8).
  • Failed payments. If a payment fails, we tell you and you keep full access for 14 days to update your payment method in Billing. If the amount is still unpaid after that, the account is restricted to Billing, Support and Settings until it is paid; if it is still unpaid 30 days later, the subscription is cancelled and the account stays locked as described in section 7.

06 ·Changing plan and add-ons

  • An upgrade — to a bigger plan, or from monthly to yearly billing — takes effect immediately, once any amount due is paid. If the billing period stays the same, we charge the price difference for the rest of the current period. If it changes, a new period of the new plan starts that day and is charged, less the unused part of the old plan; if that unused part is worth more, nothing is charged and the rest stays on your account as credit for your next invoices. Before you confirm, we show you the amount.
  • You can move to a smaller plan only when your farm already fits within its limits, such as its hectare limit — to do so, first remove the parcels above the limit. Moving from yearly to monthly billing on the same plan counts as a move to a smaller plan (a downgrade) and takes effect at the end of the current billing period. Before you confirm, we show you when the change takes effect and how the amount you have already paid is handled. Amounts already paid are not refunded in money, except under the right of withdrawal (section 8).
  • Add-ons — for example extra hectares, extra team seats or the weather module — are separate subscriptions with their own prices, shown on the pricing page, and can be ended from Billing. Reducing extra hectares takes effect immediately, without a refund, and cannot go below the hectares your parcels already use.

07 ·Cancellation, locked accounts and deletion

  • You can cancel your subscription at any time in Billing. It then ends at the end of the period you have already paid for, and you keep full access until then. The current period is not refunded, in whole or in part, except where the law requires it for consumers (section 8).
  • When access ends — after a cancellation, an unpaid subscription or a trial that was not converted — the account is locked, not deleted. You can still sign in, use Billing, Support and Settings, export your account data from Settings (section 10) and choose a plan again in Billing, and your data is still there as it was.
  • We keep a locked account and its data for 6 months after access ends and e-mail you 30 days and 7 days before we delete it. After those 6 months the account and its data are deleted permanently, with the exceptions below.
  • You can also delete your account yourself at any time, in Settings. Deletion is immediate and cannot be undone; it cancels your subscription and add-ons, without a refund of the current period except where the law requires it for consumers (section 8), and the same exceptions apply. While an EUDR or ISCC analysis for your account is still running, the deletion is refused and nothing is deleted until the analysis has finished or been stopped, which takes at most 30 minutes.
  • What we keep after deletion: invoices and payment records, which accounting and tax law requires us to keep; if you generated EUDR or ISCC reports, for 5 years from the most recent report: those reports and their PDFs, including the e-mail address recorded in them, and the organisations you owned, with their farms, parcels and the records attached to the parcels; and the acceptance records and activity log described in the Privacy Policy. An EUDR or ISCC analysis that stopped without results is not kept: it is deleted with the account. Your account, sign-in details and profile are deleted, together with the records created under your account, such as jobs, field issues and expenses.
  • We may restrict, suspend or close an account that seriously or repeatedly breaks these terms, as set out in section 9.

08 ·Consumer rights

If you are a consumer — a natural person contracting outside your commercial, industrial, craft or professional activity — you may withdraw from the contract within 14 calendar days, without giving any reason. The right is granted by Romanian Government Emergency Ordinance 34/2014, which transposes Directive 2011/83/EU.

If you use AGROGIS for your business or profession — as a company, an authorised individual (PFA), a sole or family enterprise, or in any other professional capacity — you are not a consumer: you have no right of withdrawal, and payments are not refunded.

For subscriptions, the period runs from the conclusion of the contract. Automatic renewal of an existing subscription does not open a new withdrawal period.

You withdraw by an unequivocal statement sent to contact@agrogis.ro. You may use the model withdrawal form, but you are not obliged to. We acknowledge receipt without delay.

We reimburse all payments received from you without undue delay and in any event no later than 14 calendar days from the day we are informed of your decision, using the same means of payment you used, at no cost to you.

If you expressly asked us to begin providing the service before the period expired and you then withdraw, you owe an amount proportionate to what was supplied up to the moment of withdrawal, calculated on the total price agreed in the contract.

EUDR and ISCC reports are digital content supplied on a non-tangible medium. For each report already generated, the right of withdrawal is lost where you gave express prior consent to performance beginning and acknowledged that you thereby lose that right. Unspent report credits remain refundable on the terms above.

If you are a consumer and we change the service beyond what is needed to keep it in conformity, in a way that affects your access to it or your use of it more than minorly, you may end the contract free of charge within 30 days of our telling you or of the change, whichever is later. We then refund the part of the price you paid in advance for the remaining period. This does not apply if we let you keep the unchanged service at no extra cost. The right comes from the law transposing Directive (EU) 2019/770.

09 ·Acceptable use

You agree to use AGROGIS:

  • in compliance with applicable law and these terms;
  • without attempting unauthorised access to AGROGIS systems or to those of other users;
  • without carrying out, without our prior written consent, security tests, scans, fuzzing, penetration testing or other security-research activities on our live systems;
  • without using the platform for unlawful, abusive or misleading purposes;
  • without uploading data that infringes the copyright, intellectual-property or confidentiality rights of others;
  • without automated tools (bots, scraping) that are not expressly authorised in writing by AGROGIS;
  • without using the platform to circumvent EU regulations applicable to agriculture, finance or data protection.

If you break these rules, we may restrict or suspend the account — after a warning, where the breach can be put right — and, for serious or repeated breaches, close it. A serious breach, such as an attack on our systems, allows us to act immediately. We always tell you the reason, and you can challenge our decision with us or before the competent courts.

10 ·Your content and your data

  • Your content stays yours. The parcels, records, photos, files and notes you or your team put into AGROGIS belong to you. You allow us to store, copy, process and display them only as far as needed to provide the service to you and your team, and to keep them for the periods in section 7.
  • The results are yours to use. You may use the maps, reports and prescription maps the platform produces from your content freely for your farm and your business, subject to the licences of the underlying data (section 12).
  • Exporting your account data. In Settings → Privacy & data you can download, at any time and also while the account is locked, a JSON file with your account data: your profile; the farms and parcels, with their boundaries, of the organisations you belong to; the records created under your account, such as jobs, field issues and expenses; the EUDR and ISCC reports you generated; invoices, payments, support tickets and acceptance records; and links, valid for one hour, to the files stored under your account, such as the PDFs of the reports you generated. Records the organisation keeps for its parcels — for example crop seasons, the spray register, field-guidance sessions and the zones of prescription maps — are not in this file; you can ask for them at dpo@agrogis.ro.
  • Other downloads. While the account is not locked you can also download: the PDFs of your reports, from the Reports page or, for EUDR and ISCC, from the page where you generate them; the spray register as PDF, CSV, XML or JSON, from the Spray register page; and, on plans that include prescription maps, each prescription map from the Prescription maps page as Shapefile (also in versions for John Deere, Trimble and Ag Leader terminals), ISOXML, GeoJSON, KML, CSV or GPX.
  • Your responsibility. You are responsible for what you upload and for having the right to upload it, including any personal data about other people (section 11).
  • What we do not do. We do not sell your content, use it for advertising or share it with other customers. We may use statistics about how the service is used, in a form that identifies neither you nor your farm, to run and improve AGROGIS.

11 ·Personal data you record about other people

For your own account data, AGROGIS is the controller, as the Privacy Policy explains. When your content includes personal data about other people — team members you invite, employees or contractors named in your records, people visible in photos — you (or your organisation) are the controller of that data, and AGROGIS processes it on your behalf as processor. This section is the contract that Article 28 of the GDPR requires for that processing.

  • Subject, duration and purpose: hosting and processing your content to provide the service, for as long as the contract lasts and for the periods in section 7.
  • Data and people concerned: identification and contact details, work records, photos and locations — including the routes recorded with field guidance — of the people you record: your team, staff, contractors and others.
  • Instructions: we process the data only on your documented instructions — these terms and the settings and features you use — unless the law requires otherwise, in which case we tell you first unless the law forbids it.
  • Confidentiality and security: only authorised AGROGIS staff, bound to confidentiality, can access the data, and we apply the security measures described in the Privacy Policy.
  • Sub-processors: you authorise the service providers listed in the Privacy Policy. We tell account owners by e-mail before adding or replacing one, so that you can object; if you object and we cannot accommodate it, you may end the contract.
  • Assistance: we help you respond to requests from the people concerned and meet your obligations on security, breach notification and impact assessments, and we tell you without undue delay about a personal-data breach affecting your data.
  • End of the contract: you can export the data as described in section 10; it is then deleted as set out in section 7. By accepting these terms you instruct us to keep EUDR and ISCC reports, and the organisations you own with their farms and parcels, for 5 years from the most recent report, so that they remain available as due-diligence evidence.
  • Audits: on reasonable written request, we give you the information needed to show that we meet these obligations.

12 ·Reports, imagery and advice

  • Satellite imagery depends on satellite passes and cloud cover; a clear image is not available for every date.
  • EUDR and ISCC reports are spatial evidence compiled from satellite data and public datasets. They are not a certification or an audit and do not replace the checks of an accredited certification body or your own due-diligence obligations. The decision to place a product on the market remains yours.
  • Vegetation indices, weather forecasts and alerts, prescription maps and field guidance support your decisions; they do not replace your own judgement or professional advice.
  • Data from third parties — Copernicus Sentinel, USGS Landsat, Hansen Global Forest Change, protected-area databases, weather models — is used under its providers' licences, may contain errors that we cannot correct, and may change when its providers change it.

13 ·The AI assistant (John)

John is AGROGIS's assistant based on artificial intelligence (AI) — a program, not a person. Its answers are generated automatically from your account's data (parcels, satellite maps, jobs, issues and, if your plan includes it, the weather forecast) and from general information about farming and about the app. They can be incomplete or wrong.

  • Guidance, not recommendations. John's answers are informational: they help you understand what the data shows and what is worth checking in the field. John does not recommend or promote products, brands, varieties, machinery or suppliers, and gives no doses or quantities of plant-protection products or fertilisers — for those, the product label and a specialist's advice apply.
  • The decision is yours. The farming, business or financial decisions you take after one of John's answers, and their consequences, are yours; check anything important in the field or with a specialist. Our liability for them is as set out in section 16.
  • Your agreement, and the record of it. Before your first question we ask you to confirm, by ticking a box, that you have understood these conditions, and to choose the language John answers in (you can change it at any time). We keep a record of the agreement — the version, date, language, IP address and browser — as we do for accepting these terms, and a withdrawal is recorded the same way. What is sent to the AI model's provider and how long conversations are kept is set out in the Privacy Policy.
  • Which plans. John answers your own questions on the paid plans. During the free trial it shows example questions and answers, without reading your data. John has usage limits, set by us so the service stays available to everyone; when you reach one, John pauses until the next period.
  • Changes and suspension. John depends on an external AI model provider. We may suspend it temporarily when that provider is unavailable or for security reasons, and stop it for an account that breaks these rules. If we withdraw John from a paid plan, section 2 applies.
  • Prohibited use. In addition to the rules in section 9, you may not query John automatically (through scripts, bots or other programs), try to get around its rules or limits, or use it to obtain data your account has no access to.

14 ·Availability and support

  • We work to keep AGROGIS available at all times, but we do not guarantee uninterrupted availability or a minimum uptime, and we do not give service credits — unless a contract signed with us, for example an Enterprise agreement, says otherwise. The Service levels page describes what you can expect.
  • We try to carry out planned maintenance that interrupts the service outside working hours in Romania and to announce it in advance, in the app or by e-mail. Urgent security work may be done without notice.
  • AGROGIS relies on outside services for hosting, payments, satellite imagery and weather data. When one of them fails, the features that depend on it may be unavailable until it recovers.
  • Support: open a ticket on the Support page of the app — also available when an account is locked — or write to contact@agrogis.ro. We reply to tickets within one business day (Monday to Friday, except Romanian public holidays). A reply may be an answer, a fix or a clear next step.

15 ·Intellectual property

AGROGIS owns the rights to the platform — its software, interface, design and documentation — and to the materials published on the website, including copyright and any trademark rights in the AGROGIS name and logo. Your subscription gives you a non-exclusive, non-transferable right to use the platform for the duration of the contract; it does not transfer ownership.

You may not copy, modify, decompile, disassemble, distribute, sell or create derivative works from the platform without AGROGIS' prior written consent, except where the law expressly allows it. Content in the public areas of the site (text, images, illustrations) may be viewed and printed for personal, non-commercial use.

16 ·Liability

We are responsible for providing the service as these terms describe. If you are a consumer, you also have the legal guarantee of conformity for digital services and the other rights that consumer law gives you; nothing in these terms limits them.

Apart from those rights, and as far as the law allows, we are not liable for:

  • indirect losses, such as lost profit or lost business opportunities;
  • agricultural, commercial or financial decisions taken only on the basis of the platform's data;
  • errors in data that comes from third parties;
  • interruptions caused by events outside our reasonable control, including failures of the outside services in section 14.

Our total liability to you is limited to the amounts you paid us in the 12 months before the event that caused the damage.

These limits do not apply to damage caused intentionally or through gross negligence, to harm to a person's life, physical integrity or health, or to any other liability that the law does not allow to be limited or excluded.

17 ·Force majeure

Neither party shall be liable for failure to perform or for delayed performance of its obligations if caused by a force-majeure event — including but not limited to: natural disasters, war, terrorism, pandemics, decisions of public authorities, prolonged power or internet outages, or large-scale cyberattacks on the cloud infrastructure we use. The affected party shall notify the other party within 5 business days and shall make reasonable efforts to mitigate the effects.

18 ·Changes to these terms

We may update these terms when the service, the law or our business changes. We tell you about important changes in advance, by e-mail and in the app, and ask you to accept each new version at your next sign-in; the version number, the date and a summary of what changed are shown at the top of this page.

A change to your disadvantage — for example a price increase or less service for the same price — never applies to a period you have already paid for: it applies from your next renewal, and you can cancel before then. If you do not accept a new version, you can cancel your subscription, which ends at the end of the period you have already paid for, without a refund except where the law requires it for consumers (section 8).

19 ·Governing law and disputes

These terms are governed by Romanian law. If you are a consumer living in another EU country, you also keep the protection of the mandatory rules of that country's law.

If something goes wrong, please tell us first at contact@agrogis.ro — most problems can be solved directly.

Disputes are decided by the competent Romanian courts for our registered office (Giurgiu). If you are a consumer, you may also go to the courts where you live, and we can bring proceedings against you only there.

Consumers in Romania can contact the National Authority for Consumer Protection (ANPC) and use the alternative dispute resolution (SAL) bodies it lists at anpc.ro/sal. Consumers in other EU countries can find their national dispute resolution bodies on the European Commission's list at consumer-redress.ec.europa.eu.
